Key Business Metrics

The revenue decline reflected weakness across both major service categories. AI Solutions, which includes products and services, generated $0.1 million less revenue than a year earlier, while AI Education Service revenues decreased by $0.1 million. Fusemachines attributed the overall $0.2 million decline to a net decrease in total clients. Product revenue remained an insignificant portion of total revenues.

Cost of revenue was essentially flat at $0.8 million, increasing because of annual salary increments. Consequently, gross profit contracted despite relatively stable delivery costs. Selling and marketing expenses increased 15% to $0.4 million from $0.3 million, primarily because of higher consulting fees and advertising expenses.

Factors Influencing Results

Operating expenses increased 78% year over year, with general and administrative expenses rising 90% to $3 million from $1.6 million. The increase primarily reflected $0.4 million of stock-based compensation associated with restricted stock units, higher audit and consulting costs, salary increases, insurance expenses and other operating costs. Research and development expenses increased 84% to $0.3 million, mainly due to higher payroll costs.

These increases contributed to an operating loss of $2.7 million compared with $0.9 million a year earlier. However, below-the-line items materially improved the net-loss comparison. The prior-year quarter included a $2.9 million fair-value loss primarily associated with convertible notes, whereas substantially all outstanding convertible notes were converted into equity or repaid during 2025. Interest expense also decreased to $0.05 million from $0.07 million. These benefits helped offset higher operating expenses and a $0.1 million foreign-exchange-related other loss.

Management Commentary and Liquidity

Management identified intense AI-industry competition, rapid technological change, lengthy and unpredictable sales cycles and access to capital as important factors affecting future results. The company said its sales process can require substantial upfront time and expense, including pilot deployments that may not convert into revenue-generating contracts.

Liquidity remains a key consideration. Fusemachines ended June with approximately $0.4 million in cash and a $16.8 million net working capital deficit. Net cash used in operating activities was $3.5 million during the first six months of 2026 compared with $0.2 million a year earlier. Management said existing cash and potential financing arrangements may not be sufficient to meet working-capital and capital-expenditure requirements for at least the next 12 months.

The company has access to a committed equity facility with Roth Principal Investments allowing it to sell up to $20 million of common stock over a 36-month commitment period. However, no proceeds had been received as of the filing date, and the related S-1 registration statement had not yet become effective. Management expects additional capital will be required to fund operations, product development, selling and marketing activities and working-capital needs.
